Waiver, Release and Indemnification

WHEREAS, the undersigned releaser(s) (each, a “Releasor”) has indicated the desire to enter the real estate located at:
WHEREAS, the Property may be in such a condition that entry or inspection may be dangerous; and
WHEREAS, Seller desires, and it is Seller’s intention, to disclose these matters to Releasor via this Waiver, Release, and Indemnification; and
WHEREAS, notwithstanding these matters, Releasor desires to enter the Property; and
WHEREAS, Releasor agrees to not permit or allow any other person to enter the Property along with Releasor without such other person having signed this Waiver, Release, and Indemnification; and
WHEREAS, Releasor voluntarily, willingly and knowingly executes this Waiver, Release, and Indemnification with the express intention of effecting the extinguishment of obligations designated in this Release below:
1. Releasor hereby acknowledges that he/she has read this Waiver, Release, and Indemnification, and is aware of the conditions set forth herein. Notwithstanding this disclosure, Releasor still desires to enter the Property.
2. Releasor hereby acknowledges and agrees that Williams & Williams Marketing Services, Inc., and its wholly owned subsidiary, Williams & Williams Worldwide Real Estate, LLC (together, “Williams & Williams”), Jones Lang LaSalle Brokerage, Inc., its affiliates, and their respective directors, officers, agents, and employees (together, “JLL”), and Seller, and their respective officers, employees, agents, successors and assigns, shall not bear any responsibility (financial or otherwise) for any loss or damages or injury or inconvenience sustained by Releasor caused by, related to, or in conjunction with the inspection of the Property or arising out of the conditions of the Property.

3. Releasor, with the intention of binding Releasor, Releasor’s heirs, executors, administrators, estate, and assigns, releases, forever discharges and holds harmless Seller, JLL, Williams & Williams, their parents and subsidiaries, and each of their respective members, employees, agents, representatives, consultants, attorneys, fiduciaries, officers, directors, trustees, partners, principals and shareholders, predecessors in interest, successors and assigns and related corporate divisions (collectively, the "Released Parties"), of and from any and all manner of actions, causes of action, suits, debts, dues, sums of money, accounts, bond, bills, specialties, covenants, contracts, controversies, agreements, promises, variances, trespasses, damages, judgments, executions, claims and demands whatsoever at law or in equity (collectively, the "Claims") against Seller, JLL, Williams & Williams, and their respective officers, employees, agents, successors and assigns which ever had, now has, or may have or which Releasor’s successors, heirs, executors or administrators, hereafter can, shall, or may have, for, on, or by reason of any matter, cause or thing whatsoever arising from the subject of this Waiver and Release.

4. Releasor elects to, and does, voluntarily and willingly assume all the risks for claims arising after the date of this Waiver and Release, known or unknown, arising from the subject of this Waiver and Release, in favor of the Releasor, and the Releasor’s heirs, executors, administrators, successors, or assigns, and knowingly, voluntarily and expressly releases Seller, JLL, Williams & Williams, and their respective officers, employees, agents, successors and assigns from any and all liability for claims arising out of such matters.
5. Releasor shall defend, indemnify and hold the Released Parties harmless from any and all obligations, demands, liabilities, claims, liens, encumbrances, losses, damages, costs, expenses, cause or causes of action and suit or suits of any and every character, known or unknown, direct and/or indirect, at law or in equity, of whatsoever kind or nature, whether heretofore or hereafter accruing including, but not limited to, costs of remediation, restoration and other similar activities, mechanic’s and materialmen’s liens and reasonable attorneys’ fees, damages (whether compensatory, punitive, or consequential), or any injuries (whether to the person or personal property of Buyer and/or his/her agents) resulting from or arising from Buyer’s or Buyer’s agents’ entry onto the Property, whenever occurring, including without limitation, allowing or permitting other persons onto the Property without having such other persons sign this Waiver, Release, and Indemnification.
​I/We, the undersigned, have read this Waiver and Release and understand all of its terms. I/We execute it voluntarily and with full knowledge of its significance.
