Current year's taxes are pro-rated through day of closing as is customary.

Each high bidder must make a 10% ($5,000 minimum)non-refundable deposit immediately following auction. Cash, cashier's checks, personal checks and business checks (electronically processed) are accepted. The balance of the purchase price and all closing costs are due within 30 days. Closing costs generally total approximately $1,500 and include, but are not limited to, title exam, title policy, closing fee and filing costs.

Bidding starts at the nominal Opening Bid(s) indicated and is open to the public. The Auctioneer reserves the right to group, add to, delete, withdraw, consolidate or break down lots and/or quantities offered, to sell out of scheduled sequence, to reject any bid which is only a fraction advance over the preceding bid, to regulate bidding, to accept or reject any or all bids, and to cancel or re-schedule an auction. The Auctioneer will call the sale and control any increments of bidding. To make a bid, raise your hand or Bid Card to be recognized. The bidding usually takes less than 3 minutes for each property. Per the Williams & Williams Terms & Conditions of Sale, all properties auctioned are otherwise sold "AS-IS, WHEREIS" without any representation or warranty, express or implied, of any kind by Williams & Williams, Auction Network, or the respective seller, and with no financing, inspection or other contingencies to sale. Buyers must conduct their own due diligence and investigation of each property and must also investigate the suitability of each parcel prior to making a bid and purchase at the auction. The auctioneer has the right at his or her absolute and sole discretion to refuse any bid, to advance the bidding in such a manner as he or she may decide, to withdraw or divide any lot, to combine any two or more lots and, in the case of error or dispute, and whether during or after the sale, to determine the successful bidder, to continue the bidding, to cancel the sale or to reoffer and resell the item in dispute. If any dispute arises after the sale, our sale record is conclusive.

Any property may be withdrawn by Auction Network or Williams & Williams at any time before the actual sale without any liability therefore. If the auctioneer determines that any opening bid is not commensurate with the value of the article offered, he or she may reject the same and withdraw the article from sale, and if, having acknowledged an opening bid, he or she decides that any advance thereafter is insufficient, he or she may reject such advance.

These Auction Network Terms & Conditions of Service, Terms & Conditions of Use, Williams & Williams' Terms & Conditions of Sale, as well as the online buyer's rights and obligations hereunder, shall be governed by and construed and enforced in accordance with the laws of the State of Oklahoma. By bidding at this auction, whether in person or by agent, order bid, telephone, online, or other means, the buyer shall be deemed to have consented to the exclusive jurisdiction of the state and federal courts sitting in the State of Oklahoma.

You are registering to bid on the following properties, and as stated above, your bid, and the sale of the property, will be governed by the property specific Williams & Williams Contract for Sale, Disclosures, Auction Day Notes, and Terms & Conditions of Sale. Each of these documents are available for your review at the Williams & Williams property specific web page. DO NOT BID unless and until you review these documents. BY PLACING YOUR BID, YOU AGREE TO BE BOUND BY THE PROPERTY SPECIFIC CONTRACT FOR SALE, DISCLOSURES, AUCTION DAY NOTES, AND THE WILLIAMS & WILLIAMS TERMS & CONDITIONS OF SALE.

Disclosures:
• All properties are sold "AS IS, WHERE IS" with no financing, inspection or other contingencies to sale.

• Escrow. Buyer acknowledges receipt of the Joint Escrow Instructions that modifies the Contract for Sale to provide for a designated Escrow Agent to hold down payment funds. Buyer and Seller agree that the Escrow funds may be held in a trust/escrow account located outside of the state where the Property is located.

• Well Potability Disclosure. Neither Seller, Williams & Williams, nor its agents make any assertions or guarantees as to the condition or potability of the well reported to be on this Property. Buyer is purchasing the Property as-is, where-is.

• Wastewater Treatment Disclosure. The Property herein has been reported to have an on-site wastewater treatment system/cesspool/septic tank. Buyer is purchasing the Property as-is, where-is with no warranties or assertions by Seller, Williams & Williams, or their agents as to the condition thereof. The Property may be subject to city/county septic inspections. Buyer agrees to comply with all requirements necessary to complete the inspection and closing, including, but not limited to, obtaining the necessary permits and making arrangements to correct any noted city/county violations at Buyers expense.

· Propane Disclosure. Neither Seller, Williams & Williams, nor its agents make any assertions or guarantees as to the condition of the propane tank or location of lines that may be located on the property herein. Buyer is purchasing the Property as-is, where-is, and is responsible for all costs for any required remediation thereto. In the event the propane tank is leased, the Buyer is responsible for any and all costs/remediation required for the propane tank, assuming all lease terms, and/or negotiating a new lease agreement for use of any propane tank.

• Tract 1 - Buyer will receive a credit in the amount of $21,019.25 upon date of closing for the projected cost share amount of the feedyard reconstruction proposed by the NRCS.

• Tract 1 - Buyer will be responsible for reimbursement to B&L Cattle for fertilizer application on the alfalfa in the amount of $1,711.23 at date of closing.

• Tract 1 - Buyer will take possession of all grassland, tillable land, and buildings/improvements upon date of closing.

• Tract 1 - Buyer will have first option to purchase bagged sileage feed located at the NW/4 of Section 18-10-16. If not purchased by Buyer of property, Seller will have feed removed from the property by December 31, 2019 or for resonable period after 12/31/19 which new owner will allow Seller to rent the space it sits on to allow reasonable time to sale and remove.

• Tract 1 - Buyer will have first option to purchase any personal property or equipment in office, or on the property upon closing. Otherwise, Seller will have 90 days from day of auction to remove all personal property.

• Tract 1 - Seller reserves the right to remove caliche rock currently piled on the SE/4 of Section 13-10-17 from the caliche pit within 60 days of auction date. No new mining of rock is to take place during this period. Seller only had right to remove rock that is currently piled on the land.

• Tract 1 - Allen Gosser, owner of the NW/4 of Section 13-10-17, has notified auction company he will be building approximately 1/4 mile of boundary fence to separate his pasture from the Liberty Ranch pasture at the NW corner of Tract 1.

• Tract 1 - If sold separately from Tracts 2-4, Buyer will be responsible for paying for a survey to determine exact boundaries and acreage. Buyer will pay the per acre high bid price for SURVEYED ACRES on date of closing.

• Tract 1 - If sold separetely from Tract 2-4, an easement will be granted to the Water Well situated within the NE/4 of Section 13-10-17 of Tract 1 to provide water to Tracts 3 & 4.

• Tract 1 - Home located on the property sales AS IS, IN ITS CURRENT CONDITION.

• Tract 2 - If sold separately from Tracts 1, 3 & 4, Buyer will be responsible for paying for a survey to determine exact boundaries and acreage. Buyer will pay the per acre high bid price for SURVEYED ACRES on date of closing.

• Tract 2 - Buyer will take possession of all acreage, home, and improvements upon date of closing.

• Tract 2 - Home located on the property sale AS IS, IN ITS CURRENT CONDITION.

• Tract 2 - This acreage is currently enrolled in the Walk-In Hunting program thru 2022. Buyer will receive a credit on the date of closing for the remaining period the property is in the WIHA program. Buyer will have the option to apply the credit to terminate the Walk-In Hunting contract as of date of closing. Buyer will need to notify auction company of intention to remove acreage from the WIHA program prior to date of closing so proper notification can be provided to the KDWPT by the Seller.

• Tract 3 - If sold separately from Tracts 2, 3 & 4, Buyer will be responsible for paying for a survey to determine exact boundaries and acreage. Buyer will pay the per acre high bid price for SURVEYED ACRES on date of closing.

• Tract 3 - Buyer will take possession of all acreage and any improvements upon date of closing.

• Tract 3 - This acreage is currently enrolled in the Walk-In Hunting program thru 2022. Buyer will receive a credit on the date of closing for the remaining period the property is in the WIHA program. Buyer will have the option to apply the credit to terminate the Walk-In Hunting contract as of date of closing. Buyer will need to notify auction company of intention to remove acreage from the WIHA program prior to date of closing so proper notification can be provided to the KDWPT by the Seller.

• Tract 3 - If sold separately from Tract 1 and 2, a water well easement will be granted to Buyer of this tract to wells located on Tract 1 and 2. The water tanks on this property are fed by the water wells located on Tracts 1 & 2 and an easement will be prepared and recorded upon date of closing to assure Buyer of Tract 3 water through the current water lines running to the property.

• Tract 4 - If sold separately from Tracts 2, 3 & 4, Buyer will be responsible for paying for a survey to determine exact boundaries and acreage. Buyer will pay the per acre high bid price
o for SURVEYED ACRES on date of closing.

• Tract 4 - Buyer will take possession of all acreage and improvements upon date of closing.

• Tract 4 - This acreage is currently enrolled in the Walk-In Hunting program thru 2022. Buyer will receive a credit on the date of closing for the remaining period the property is in the WIHA program. Buyer will have the option to apply the credit to terminate the Walk-In Hunting contract as of date of closing. Buyer will need to notify auction company of intention to remove acreage from the WIHA program prior to date of closing so proper notification can be provided to the KDWPT by the Seller.

• Tract 4 - If sold separately from Tract 1, a water well easement will be granted to Buyer of this tract to wells located on Tract 1. The water tanks on this property are fed by the water wells located on Tract 1 and an easement will be prepared and recorded upon date of closing to assure Buyer of Tract 4 water through the current water lines running to the property.


• Tract 5 - TERMS #1 - 7 LISTED FOR TRACT 1 WILL APPLY TO THE RECOMBINE OF THE RANCH FOR TRACT 5.

• Tract 5 - Buyer will receive a credit on the date of closing for any acreage that is currently enrolled in the Walk-In Hunting program. Credit will be for the prorated rent amount for the remainder of the WIHA program which expires in 2022. Buyer will have the option to apply the credit to terminate the WIHA contract as of date of closing. Buyer will need to notify auction company of intention to remove acreage from the WIHA program prior to date of closing so proper notific ation can be provided to KDWPT by the Seller.

• Tract 6 - Buyer will take possession of all grassland, idle crop acres, and all buildings/improvements upon date of closing.

• Tract 6 - Buyer will have first option to purchase any personal property or equipment (owned by the Seller) or on the property upon closing. Otherwise, Seller will have 90 days from day of auction to remove all personal property.

• Tract 6 - Buyer will have first option to purchase bagged sileage feed located at far North end of the property. If not purchased by Buyer of property, Seller will have feed removed from the property by December 31, 2019 or for reasonable period after 12/31/19 which new owner will allow Seller to rent the space it sits on to allow reasonable time to sale and remove.

• Tract 6 - There is approximately 130 acres of wheat on the property. Buyer will take possession of these upon harvest of the wheat in the Summer of 2019. Buyer will have no ownership interest in the currently growing wheat crop.

• Tract 6 - The hydraulic chute located in the North barn is NOT included in the sale and will be removed from property prior to date of closing.
