TERMS OF SALE

Thank you for participating in this Williams & Williams Auction. It is important that you familiarize yourself with the terms and conditions as all sales are final and irrevocable. The terms of sale are non-negotiable. Good luck and good bidding!

Registration at the auction (online and/or in person) finalizes each bidder's agreement to the terms and conditions of sale as stated in the Contract and its Addenda which are incorporated by reference into your bidding. Do not bid until you have read the terms and conditions. The High Bidder will be required to pay a Williams & Williams Technology Fee of $199 at closing. By bidding you are representing to Williams & Williams ("Broker" and/or "Auctioneer") and the Seller that you have read and agree to be bound by the terms and conditions for this sale as stated herein. DO NOT BID unless you have registered, received a Bidder's Card and Auction Day Notes, and have read and agreed to be bound by the terms of sale in the Contract as they are enforceable against you upon becoming a high bidder.

All properties are sold "AS IS, WHERE IS" with no financing, inspection or other contingencies to sale. Williams & Williams represents the Sellers only and does not inspect properties on bidder's behalf. Read the Contract and Auction Day Notes to determine the existence of any disclosures, exclusions, representations and disclaimers. Do not bid if you have not inspected the property(s). By bidding you agree to all disclosures.

Qualified Bidders Only. All bidders must complete and return a Qualified Bidder Packet to Williams & Williams at least 48 hours prior to the auction.  As part of the Qualified Bidder Packet, all bidders will be required to either post a bid deposit in the amount of $500,000 (the “Bid Deposit”) into an escrow account with First Dakota Title at least 48 hours prior to the auction or provide a proof of funds letter evidencing the bidder’s ability to purchase the Property to Williams & Williams. If you are the high bidder, your Bid Deposit will count towards your down payment. If you are not the high bidder, your Bid Deposit will be returned to you via wire transfer from the escrow company after the auction.

Seller Financing: If the buyer is interested, the Seller(s) will finance any amount OVER $6,300,000.00 at an interest rate of 8.67% for a period of 5 years, with interest only payments for those 5 years, and a balloon payment of the principal balance due on or before the end of the 5 year term, with no pre-payment penalties. If the buyer wants to take advantage of this seller financing option, the Property must be used as collateral for this note. 

Buyers receive a deed and Title Insurance Policy as provided by the Closer indicated in the Contract (any mobile/manufactured housing not legally affixed to the property shall only be conveyed by a Hold Harmless Agreement or Quit Claim Bill of Sale unless otherwise noted in the Disclosures). Current year's taxes are pro-rated through day of closing as is customary.

A Buyer's Premium of 4% ($300,000 maximum) will be added to the high bid and included in the total purchase price if the property is sold at auction or post auction. No Buyer’s Premium will be collected if the property sells pre-auction.

Each high bidder must make a 15% non-refundable deposit per property immediately following auction. Cash, cashier's checks, personal checks and business checks (electronically processed) are accepted. The balance of the purchase price and all closing costs are due within 30 days. Closing costs generally total approximately $1,500 and include, but are not limited to, title exam, title policy, closing fee and filing costs. FAILURE TO PRODUCE THE BALANCE OF THE PURCHASE PRICE AND ALL CLOSING COSTS WITHIN THE 30 DAY PERIOD WILL RESULT IN FORFEITURE OF YOUR FULL DOWN PAYMENT AND/OR FULL BID DEPOSIT AS THE CASE MAY BE.

Bidding starts at the nominal Opening Bid(s) indicated and is open to Qualified Bidders. The starting/minimum bid for this auction will be $3,150,000. The Auctioneer reserves the right to group, add to, delete, withdraw, consolidate or break down lots and/or quantities offered, to sell out of scheduled sequence, to reject any bid which is only a fraction advance over the preceding bid, to regulate bidding, to accept or reject any or all bids, and to cancel or re-schedule an auction. The Auctioneer will call the sale and control any increments of bidding. To make a bid, raise your hand or Bid Card to be recognized. The bidding usually takes less than 3 minutes for each property. Absentee bids may be accepted at the discretion of the Auctioneer. The Auctioneer reserves the right to enter bids on behalf of absentee bidders. Any mistakes during bidding as to who has the high bid and/or at what price may be called to the Auctioneer's attention and corrected. The Auctioneer is the sole arbiter and controller of the conduct of the auction and shall be the final and absolute authority without liability to any party.

Your inspection of the property(ies) and attendance at this auction are at your own risk. Broker and Seller, their agents and employees, expressly disclaim any "invitee" relationship and shall not be liable to any person for damage to their person or property while in, on or about these properties, nor shall they be liable for any defects, dangers or conditions on the property(ies). All persons enter the property(ies) and attend the auction at their own risk and shall defend, indemnify, and save harmless Broker and Seller, their agents and employees, from any and all liability attendant thereto.

All auctions are subject to seller approval. Most sales are approved within 7 days. Buyers are not allowed possession until Closing and filing of the deed, at which time the property should be re-keyed. If for any reason the Seller approval is not granted, the Down Payment and/or Bid Deposit shall be returned in its entirety to the high bidder. "Showing" requests from Buyers after the auction may not be able to be accommodated.

Disclosures:
• All properties are sold "AS IS, WHERE IS" with no financing, inspection or other contingencies to sale.

• Zoning/Occupancy Inspections Disclosure. The Property may be subject to city/county zoning, use, or certificate of occupancy inspections. Buyer is purchasing the property as-is, where-is, and assumes sole responsibility and expense to obtain said inspection prior to occupancy. Neither Seller nor Williams & Williams have any knowledge of any regulatory requirements or how same may impact Buyer's intended use of the property. Buyer assumes responsibility for satisfying of all zoning, use, occupancy, and any other regulatory requirements, including all costs and remediation that may be necessary.

• Terms of Sale. Buyer acknowledges receipt of the Terms of Sale that includes a Bid Deposit or other mechanism such that Buyer is a “\Qualified Bidder.” Buyer warrants that Buyer has fully reviewed the Terms of Sale prior to auction and understands that the Terms of Sale are incorporated herein by reference and attached hereto as “Exhibit E.”

• Escrow. Buyer acknowledges receipt of the Joint Escrow Instructions – Addendum A that modifies the Contract for Sale to provide for a designated Escrow Agent to hold down payment funds. Buyer and Seller agree that the Escrow funds may be held in a trust/escrow account located outside of the state where the Property is located.

• Flood Plain Disclosure. Buyer acknowledges and understands that the Property may lie in a flood zone. Buyer is purchasing the Property as-is, where-is, and accepts all responsibility at buyer's sole expense for any remediation, fees, or terms required as a result of the Property being within a flood plain.

• Personal Property Disclosure. Any personal property on these premises may or may not be included in the auction. The Buyer acknowledges and understands they will be responsible for any and all removal costs.

• Any Personal Property that conveys in the sale of the real estate, and Buyer shall be responsible for payment of all applicable state and local taxes on the sale of the personal property at closing. Neither Williams & Williams nor the seller will be responsible for any lost or missing personal property at the time of closing. Any personal property is conveyed 'as is', 'where is' with all faults and is not subject to any warranty implied or otherwise provided in the Uniform Commercial Code for the sale of goods. Buyer acknowledges receipt of form SD EForm - 0919 V6 to report value as required.
